GENERAL CONDITIONS FOR USING SOFTWARE TOOLBOX PORTAL ("GENERAL CONDITIONS")
These General Conditions shall apply to the use of the services provided by Rautaruukki Oyj (hereinafter “Ruukki”) and located at software.ruukki.com (hereinafter “Software Toolbox Portal”) and the relationship between Rautaruukki Oyj and the User (as specified below). The English language version of these General Conditions as well as other Material available at the Software Toolbox Portal shall be decisive. Any translations created of these General Conditions or other Material shall be regarded invalid.
Ruukki makes available from time to time certain software products (including add-ons) through the Software Toolbox Portal. The license terms of the software made available by Ruukki through the Software Toolbox Portal are specified in the software specific license terms which are made available to the User in connection with the downloading and/or installation of the software. Please read carefully the license terms before downloading and installing any software. The software specific license terms are additional to these General Conditions.
“Material” shall mean the software (including add-ons), documentations and other material made available by Ruukki through the Software Toolbox Portal.
“User” shall mean the customer of Ruukki who is registered as a user of the Software Toolbox Portal and uses the services or downloads and/or uses the Material available at the Software Toolbox Portal.
PRICES AND MODES OF PAYMENT
Certain services and products available at the Software Toolbox Portal are subject to a fee. In the shop you can pay with Visa, Visa Electron and Mastercard credit cards. For payment with credit cards, the customer is charged in real time, through the payment gateway. Ruukki is using secure payment system of leading financial entities in electronic commerce in order to keep up maximum security of the payment. We at Ruukki will never see your credit card numbers and they will not be saved on our database, not even temporarily.
Please note! In order to pay the order with a Visa Electron card, please check with your bank that you have activated the Verified by Visa service for online payments.
All prices mentioned on the Software Toolbox Portal are stated in Euros excluding VAT.
Ruukki reserves the right to change prices and product assortment before a purchase has been registered.
DATA SECURITY
The User shall have no right to
(a) use any devices or programmes that are capable of disrupting the function of the Software Toolbox Portal,
(b) perform actions imposing an excessive burden on the structure of the Software Toolbox Portal (for example, sending mass mailings, i.e. sending junk mail), or
(c) disrupt or manage the programmes and functions of the Software Toolbox Portal.
Prohibited actions of this kind shall include installing in the Software Toolbox Portal materials containing viruses, pre-set disturbance programmes, or other elements that are capable of influencing the software architecture of the Software Toolbox Portal.
SERVICES ACCESS; USE OF PASSWORDS; AUTHORISED PERSONS
Access to certain parts of the Software Toolbox Portal requires a personal user ID and a personal password (user ID and password collectively hereinafter "Passwords"). Ruukki shall deliver the Passwords to the User after registration, and the User shall provide the Passwords only to such persons who are authorized to use the Services and make commitments through the Services on behalf and in the name of the User.
The User undertakes use proper care when keeping the Passwords and is responsible to ensure that the Passwords are not given to any other person than the authorized persons. The User shall be responsible for any use of the Software Toolbox Portal with the User’s Passwords and any costs and damage caused thereby.
The User shall keep its Passwords strictly confidential and shall supervise that the Passwords are not given to any third parties or used by any unauthorized person.

VERIFYING THE USER'S IDENTITY
Ruukki takes no liability that the User’s Passwords are in possession of right persons. The responsibility thereof lies with the User. If the Passwords are correctly given when entering to the Software Toolbox Portal, Ruukki has no obligation to try to verify the identity of the person using the Software Toolbox Portal in any other way.
After the User has notified Ruukki of unauthorised use or loss of its Passwords or some other breach of security, Ruukki shall terminate the user rights and/or close the Software Toolbox Portal with respect to such Passwords. Thereafter the Software Toolbox Portal cannot be used with these Passwords and thus the User is released from the responsibility.
INTELLECTUAL PROPERTY RIGHTS
The copyright in this Software Toolbox Portal and in all of the Material contained therein is protected under international copyright laws and copyright conventions. The User shall be required to comply globally with all copyright laws when using this Software Toolbox Portal, and to prevent unauthorised copying of the Material.
All intellectual property rights pertaining to the Software Toolbox Portal and the Material (including copyright, registered and unregistered trade mark and design rights, patents, domain names, commercial secrets and database rights) shall be retained by Ruukki or by its partners. All goodwill arising from the use of intellectual property rights belonging to Ruukki shall belong wholly to Ruukki. Ruukki grants the User no direct or indirect rights to any intellectual property rights (other than the license expressly specified in the software specific license terms).
LINKS TO EXTERNAL SOFTWARE PORTALS
Ruukki may include in this Software Toolbox Portal links to websites maintained by other parties. Use of links of this kind transfers the User away from this Software Toolbox Portal. Ruukki neither supervises nor checks the content of external websites, nor shall Ruukki be liable for the validity, reliability or data security of external websites. The User is advised to examine the terms and conditions of use and the user instructions of linked websites with care before using the said websites. The User shall use the linked websites entirely at the User's own risk. The links shall, as such, constitute no indication of title to the linked websites, nor to any support of Ruukki for the said websites or of its approval for materials therein; nor that Ruukki is entitled to use any trade mark, trade names or copyrighted material that may be viewed through the said links; nor that the proprietor of a linked websites is entitled to use any trade marks, trade names, domain names or copyrighted materials of Ruukki or of its associated companies or subsidiaries.
EXTERNAL LINKS TO THIS SOFTWARE TOOLBOX PORTAL
Written approval must be secured from Ruukki for all links to this Software Toolbox Portal, unless the link meets the following conditions:
(i) the link consists solely of the plain typeface URL and includes no trade mark of Ruukki or the word Ruukki as such or in logo form;
(ii) the link refers directly to the home page and to no subordinate page of the said website;
(iii) when following the link, the linked Ruukki Software Toolbox Portal opens in an independent new browser window and not in a frame of the linking website;
(iv) the appearance, placement and other features of the link do not create an erroneous impression that the linking party or its operations and products are associated with Ruukki operations or are sponsored by Ruukki;
(v) the link has no detrimental effect on the reputation and trade marks of Ruukki or of companies belonging to the same group as Ruukki at the time in question.
Ruukki reserves the right to withdraw its consent to a link at any time according to its own unfettered discretion, and also to prohibit any link meeting the foregoing conditions that, in Ruukki’s estimation, has been placed in an unsuitable setting and could harm the high level of goodwill that is associated with Ruukki or cause damage to Ruukki.
AMENDMENTS
Ruukki reserves the right to amend and modify these terms and conditions of use, and to add or remove any part of these terms and conditions of use, in whole or in part, at any time, as Ruukki sees fit in its own unfettered discretion. All amendments to these terms and conditions of use shall take effect when they have been announced on the Software Toolbox Portal. Any use of the Software Toolbox Portal following amendment to the terms and conditions of use shall constitute acceptance of the said amendment.
Ruukki shall be entitled, at any time and without notice, to modify all parts of this Software Toolbox Portal; to rectify defects and deficiencies therein; to effect other alterations to this Software Toolbox Portal, to the Material and to the products, programs, services and prices described on the Software Toolbox Portal; and to remove elements of the Software Toolbox Portal from use, including Software Toolbox Portal functions. Ruukki shall also have the right, without notice and without liability for compensation, to restrict the use of certain functions and services, or use of Software Toolbox Portal in whole or in part. For a justified reason, Ruukki shall be entitled at any time to terminate all rights of use that it has granted.
LIMITATION OF LIABILITY
Ruukki shall use its best endeavours to ensure that the Software Toolbox Portal and the services contained therein remain in use continuously and without disruption. Ruukki shall not, however, be liable for ensuring that the service operates in a manner that is uninterrupted, timely and free of error. Every effort has been taken to ensure the accuracy of the information in the Software Toolbox Portal. Ruukki shall nevertheless not be liable for the accuracy of this content. The Material may contain inaccuracies and typographical errors. Ruukki offers no guarantee as to the accuracy or completeness of the Material, nor of the reliability of any advice, opinion, statement, or other information that appears on the Software Toolbox Portal or that may be shared through the Software Toolbox Portal. Any use of such opinions, advice, statements or information and reliance upon them shall take place at the User's own risk, and the User is advised to seek the assistance of an expert for advice appropriate to the User's individual situation.
The Software Toolbox Portal and the information contained therein will be modified from time to time. Ruukki offers no guarantees and accepts no liability, including guarantees and liabilities in respect of commercial utility, suitability for any particular purpose or non-infringement of rights, or guarantees concerning the functioning of this Software Toolbox Portal or of its content. Ruukki shall not be liable for the provision and accuracy of product and sales information outside of this Software Toolbox Portal, for example when the said information is provided by a reseller.
Ruukki offers no guarantees as to the protection of this Software Toolbox Portal. All of the information contained in this Software Toolbox Portal is provided on an "as is" basis, with no guarantee of any kind. The User hereby accepts that Ruukki cannot guarantee the data security of any information submitted through this Software Toolbox Portal. Ruukki offers no guarantee that this Software Toolbox Portal, the webservers that maintain this Software Toolbox Portal, or electronic communications sent by Ruukki are free from viruses or other harmful elements. The User hereby accepts that Ruukki shall not be liable for materials or information that are sent or received by the User, or that are not sent or received by the User.
Ruukki shall not be liable for any direct, indirect, immediate or consequential damage or special damage, or for such damage based on tort liability (including damage arising from loss of business, contract, product or information or from interruption of business operations), arising from use of this Software Toolbox Portal or of the contents thereof, or from prevention of the said use, or from these terms and conditions, regardless of whether the said damage is based on an agreement, infringement of rights, recklessness or other grounds, and even if Ruukki was forewarned of the possibility of such damage. Ruukki shall likewise not be liable for any errors, inaccuracies, deficiencies or other defects, delays or lack of correctness of the information contained in this Software Toolbox Portal.
The liability of Ruukki shall in any case not exceed the liability arising in accordance with mandatory legislation.
DUTY TO MINIMIZE DAMAGE
If the actions of the User may occasion liability to pay damages to the User or to Ruukki, then the User undertakes to apply all reasonable efforts to immediately minimise all possible damage that has arisen or that is arising.
APPLICABLE LEGISLATION
These terms and conditions of use shall be governed by the laws of Finland (excluding its choice of law principles and provisions). If Ruukki and the User are unable to negotiate an understanding on any point of dispute, then the said dispute shall be settled in the first instance at the District Court of Helsinki.
NOTIFICATIONS CONCERNING COPYRIGHT AND TRADE MARKS
Copyright to the content of the Software Toolbox Portal is owned by Ruukki or by its partners. All rights reserved. Ruukki’s name and the names of products that the said company manufactures are trade marks or registered trade marks of Ruukki. The other names referred to may also be protected symbols of their holders. All rights reserved.
